1.Acceptance of Terms

By accessing or using the AKI Expert platform (the "Platform"), operated by AKI Petroleum Group SARL ("AKI", "we", "our", "us"), you accept these Terms of Use and our Privacy Policy. If you do not agree, do not use the Platform.

2.Eligibility

The Platform is intended exclusively for professional and institutional users aged 18 or over, acting on behalf of a legally constituted entity, and who are not subject to international sanctions or restrictions that would prohibit use of the services.

3.User Accounts

Users must provide accurate, current and complete information during registration and keep credentials confidential. Users are responsible for all activity under their account. Two-factor authentication is strongly recommended.

4.Nature of Services

AKI Expert is a technology platform that facilitates introductions and information exchange between project owners, investors, buyers, suppliers and partners. AKI does not act as a broker, dealer, investment adviser, fiduciary, custodian, or party to any transaction between users.

5.No Investment Advice

Nothing on the Platform constitutes legal, tax, accounting, financial or investment advice, nor a recommendation, solicitation or offer to buy or sell any security, commodity, project interest or other instrument. Users must obtain independent advice.

6.No Funding Guarantee

AKI does not guarantee that any project will receive funding, that any investor will identify a suitable opportunity, or that any transaction will be completed on any terms.

7.Project Listings & Information

Information posted by users, including project descriptions, technical data and financial information, is provided by those users and is not independently verified by AKI unless expressly indicated. AKI does not endorse any listing.

8.Confidentiality & NDAs

Access to confidential materials in the Virtual Data Room requires acceptance of a Non-Disclosure Agreement (NDA) and administrator approval. Confidential information may not be copied, distributed, reverse-engineered or used for any purpose other than the evaluation authorised by the disclosing party.

9.User Responsibilities & Due Diligence

Users are responsible for conducting independent legal, technical, financial and commercial due diligence on any counterparty or opportunity. Users must comply with all applicable laws, including anti-corruption, anti-money-laundering, sanctions, export controls and tax laws.

10.Intellectual Property

Users retain ownership of documents and data they upload. By uploading content, users grant AKI a limited licence to host, store and display such content solely for the purpose of operating the Platform. All trademarks, logos, software and content of AKI remain the property of AKI or its licensors.

11.Prohibited Activities

  • Misrepresenting identity, credentials, mandates or documentation.
  • Uploading unlawful, infringing, misleading, defamatory or fraudulent content.
  • Attempting to circumvent security, watermarks, access controls or audit systems.
  • Scraping, harvesting or otherwise extracting data without authorisation.
  • Facilitating money laundering, terrorism financing, sanctions breaches or corruption.
  • Using the Platform to distribute malware or interfere with its operation.

12.Fraud Prevention & KYC

AKI may require additional identity or business verification at any time. AKI may refuse registration, suspend accounts or terminate access without notice where it suspects fraud, misrepresentation, sanctions exposure or other risk.

13.Suspension & Termination

AKI may suspend or terminate any account for breach of these Terms, for legal or regulatory reasons, or for conduct that in AKI's reasonable judgement harms other users or the Platform.

14.Limitation of Liability

To the maximum extent permitted by applicable law, AKI shall not be liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, lost data, loss of business opportunity or loss of goodwill, arising from or related to use of the Platform. AKI's aggregate liability shall not exceed the greater of (i) fees paid by the user to AKI in the twelve months preceding the claim, or (ii) USD 100.

15.Indemnification

Users agree to indemnify and hold harmless AKI, its officers, directors, employees and agents from any claims arising out of their use of the Platform, breach of these Terms or violation of any law or third-party right.

16.Dispute Resolution & Governing Law

These Terms are governed by the laws of the Republic of Guinea, without regard to conflict-of-law principles. Any dispute shall be submitted to confidential arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with seat to be agreed by the parties.

17.Changes to Terms

AKI may update these Terms at any time. Continued use of the Platform after publication of revised Terms constitutes acceptance.
